These Terms of Use, Terms of Sale, Release of Liability, Assumption of Risk, Warranty Disclaimers, Limitations of Liability, Indemnity Obligations, Arbitration Terms, and all policies incorporated by reference, including the Privacy Policy (collectively, the “Terms”), govern all access to and use of fodder.pro and any related websites, checkout pages, invoices, quotes, forms, subscriptions, communications, products, and services offered by d/b/a Fodder Pro (“Fodder Pro,” “Company,” “we,” “us,” or “our”).

BY ACCESSING THE WEBSITE, PLACING AN ORDER, REQUESTING A QUOTE, MAKING A PAYMENT, SIGNING AN INVOICE, ACCEPTING DELIVERY, PICKING UP PRODUCT, POSSESSING PRODUCT, USING ANY PRODUCT OR SERVICE, FEEDING ANY PRODUCT TO ANY ANIMAL, SUBMITTING INFORMATION TO US, OR OTHERWISE PURCHASING FROM OR DOING BUSINESS WITH US ONLINE, IN PERSON, BY PHONE, BY EMAIL, BY TEXT, BY DIRECT MESSAGE, OR THROUGH ANY OTHER CHANNEL, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. Scope of Terms
These Terms apply to all:
website visitors, customers, subscribers, leads, and users;
online, offline, in-person, retail, wholesale, recurring, subscription, special-order, custom, delivery, pickup, event, market, and direct sales;
products sold or provided by us, including without limitation sprouted fodder, unsprouted seed blends, grain and seed products, trays, inputs, growing supplies, custom blends, informational materials, and related agricultural goods;
any other products, goods, services, consulting, labor, training, fabrication, digital offerings, downloads, memberships, subscriptions, demonstrations, rentals, events, or business activities we may offer now or in the future, whether related to fodder or entirely unrelated to fodder; and
all statements, descriptions, specifications, dimensions, weights, nutritional discussions, images, examples, guidance, blogs, FAQs, social content, estimates, comparisons, and other communications issued by us.
Binding Acceptance
Your assent to these Terms occurs by any one or more of the following actions:
visiting or using the website;
checking a box accepting these Terms;
placing an order;
making payment in whole or in part;
signing an invoice, receipt, estimate, quote, order form, pickup sheet, or delivery record;
accepting delivery or pickup;
taking possession of any product;
using or consuming any product or service; or
continuing to use the website or any product or service after updated Terms are posted.
To the fullest extent permitted by law, these Terms apply regardless of whether the transaction occurs through a website, point-of-sale system, invoice link, payment request, QR code, social media, email, text message, verbal order, or in-person transaction.
Eligibility and Authority
You represent and warrant that you are at least 18 years old and legally capable of entering into a binding agreement. If you act on behalf of a business, farm, ranch, LLC, corporation, partnership, school, nonprofit, trust, or other entity, you represent and warrant that you have authority to bind that entity.
No Veterinary, Medical, Nutritional, Legal, or Professional Advice
All information provided by Fodder Pro is for general informational purposes only. Nothing on the website or in any communication is veterinary advice, medical advice, nutritional advice, feed formulation advice, legal advice, tax advice, engineering advice, or professional advice of any kind.
No statement by Fodder Pro shall be interpreted as:
a diagnosis, cure, treatment, or prevention of any disease or condition;
a guarantee of animal health, safety, performance, fertility, production, weight gain, feed conversion, hydration, coat condition, or other outcome;
a guarantee that any product is suitable for any particular animal, species, breed, age, condition, operation, climate, water source, husbandry practice, or intended use; or
a substitute for consultation with a licensed veterinarian, qualified nutritionist, or other qualified professional.
You alone are responsible for determining whether any product or service is appropriate for your intended use.
AI-Assisted, Modeled, and Standardized Information Disclaimer
Certain nutritional values, measurements, dimensions, weights, product specifications, ingredient percentages, performance descriptions, feeding guidance, generalized comparisons, and other informational content on the website or in connection with our products or services may be generated, assisted, derived, normalized, estimated, modeled, summarized, or standardized using artificial intelligence tools, algorithmic processes, generalized agricultural assumptions, baseline grain or seed data, category-level reference inputs, internal formulas, and other automated or semi-automated methods.
All such information is provided solely for general informational, illustrative, convenience, and comparative purposes. Such information may be approximate, generalized, inferred, estimated, incomplete, not lot-specific, not animal-specific, and not based on direct batch-by-batch laboratory testing or direct product-by-product physical verification.
Accordingly, Fodder Pro does not represent, warrant, or guarantee that any nutritional value, moisture level, protein level, fiber level, mineral level, vitamin level, dimension, weight, volume, density, sprout rate, yield, growth stage, shelf life, specification, ingredient percentage, or other product detail is exact, current, complete, directly tested, or suitable for reliance.
Buyer acknowledges and agrees that all such information may materially vary due to seed source, lot variation, growing conditions, water quality, operator practices, harvest stage, storage conditions, handling, measurement method, transportation, seasonality, environmental conditions, and other factors inside or outside our control.
Buyer further agrees that all purchasing, feeding, reliance, commercial, operational, and resale decisions are made entirely at Buyer’s sole risk and discretion, and Buyer is solely responsible for independently verifying any information Buyer considers material.
Inherent Agricultural, Feed, Seed, and Biological Product Risks
Buyer expressly acknowledges that sprouted products, agricultural products, seed products, feed products, natural products, biological products, and perishable products involve inherent known and unknown risks, including without limitation:
spoilage;
mold, mildew, fungus, yeast, or bacterial growth;
contamination;
fermentation;
moisture fluctuation;
natural variation;
nutritional variation;
digestive upset, bloat, refusal to eat, allergic reaction, illness, injury, or death;
reduced performance or inconsistent results;
losses caused by heat, cold, humidity, sun, oxygen exposure, water quality, delayed feeding, poor sanitation, improper transport, or improper storage; and
property loss, business interruption, and economic loss.
Assumption of Risk
YOU EXPRESSLY, KNOWINGLY, AND VOLUNTARILY ASSUME ALL RISKS, KNOWN AND UNKNOWN, FORESEEABLE AND UNFORESEEABLE, ARISING OUT OF OR RELATING TO THE PURCHASE, DELIVERY, PICKUP, STORAGE, HANDLING, TRANSPORT, INTRODUCTION, FEEDING, USE, MISUSE, NON-USE, OR RELIANCE UPON ANY PRODUCT, SERVICE, WEBSITE CONTENT, SPECIFICATION, STATEMENT, OR COMMUNICATION PROVIDED BY FODDER PRO.
This assumption of risk includes, without limitation:
animal illness, injury, death, digestive upset, poor performance, reproductive issues, or veterinary expense;
spoilage, contamination, mold, microbial activity, degradation, or improper storage;
reliance on estimated, modeled, AI-assisted, or generalized information;
feeding changes, overfeeding, underfeeding, mixing with other feeds or supplements, medication interactions, and improper introduction;
hidden defects, natural variation, and conditions not discoverable at sale; and
all other damages, losses, costs, and expenses of every kind.
Buyer Responsibilities
Buyer is solely responsible for:
immediately inspecting all products at pickup or delivery;
determining whether a product is fit for Buyer’s intended purpose before use;
proper storage, sanitation, ventilation, transport, refrigeration where appropriate, and timely use;
gradual dietary transition where appropriate;
obtaining veterinary or other professional advice before feeding to vulnerable animals;
monitoring animals after any product change;
using whatever scales, tests, measurements, and independent verification Buyer considers necessary; and
discontinuing use immediately if any concern arises.
No Guarantee of Results
Fodder Pro does not guarantee:
any health outcome;
any production outcome;
any economic savings;
any exact nutritional outcome;
any exact dimensions, weight, volume, yield, shelf life, or moisture content;
any uniformity between lots or batches;
any specific sprout height, density, appearance, or growth stage; or
suitability for any specific animal, buyer, operation, downstream customer, or end use.
Orders; Acceptance; Refusal; Cancellation
All orders are offers to purchase subject to our acceptance. We may refuse, cancel, limit, or condition any order for any lawful reason, including pricing error, shortage, suspected fraud, safety concern, inability to fulfill, or force majeure.
No order is binding on us until accepted by us.
We may change products, packaging, quantities, and availability at any time without prior notice.
Custom, allocated, reserved, pre-harvest, special-order, subscription, made-to-order, or otherwise committed inventory may not be canceled or refunded once production, scheduling, procurement, allocation, or fulfillment begins.
Pricing; Payment; Deposits; Taxes
All prices are subject to change without notice. Unless otherwise stated:
prices are in U.S. dollars;
taxes, delivery fees, handling fees, packaging fees, processing fees where lawful, rush fees, and similar charges are additional;
payment is due at the time stated on checkout, invoice, estimate, quote, or order confirmation; and
unpaid balances may accrue interest at the lesser of 1.5% per month or the maximum lawful rate.
Deposits are non-refundable unless otherwise expressly stated in writing.
Delivery; Pickup; Title; Risk of Loss
Unless otherwise stated in a signed writing:
all delivery dates and times are estimates only;
risk of loss, damage, delay, theft, contamination, deterioration, spoilage, and all other casualty passes to Buyer upon pickup, transfer to Buyer, transfer to Buyer’s representative, delivery to the agreed location, or placement at the agreed delivery point;
title passes at the later of payment in full or delivery/pickup; and
Buyer bears all risk after transfer, including all storage and use risks.
Inspection and Claim Deadline
Buyer must inspect all products immediately upon receipt.
ANY CLAIM FOR SHORTAGE, DAMAGE, DEFECT, NONCONFORMITY, QUALITY, CONDITION, OR OTHER ALLEGED ISSUE MUST BE SUBMITTED IN WRITING TO [CLAIMS EMAIL] WITH PHOTOS AND SUPPORTING DETAILS WITHIN TWELVE (12) HOURS AFTER DELIVERY OR PICKUP, WHICHEVER OCCURS FIRST.
Failure to submit a complete written claim within that period permanently waives the claim to the fullest extent permitted by law.
As a condition of any claim, Buyer must preserve the product, stop using it, provide all requested documentation, and allow inspection or sampling if requested.
No Returns; Final Sale
Because many products are perishable, sanitary, biological, customized, or handling-sensitive, all sales are final unless otherwise required by law.
We may, in our sole discretion, issue a refund, credit, replacement, or adjustment as a courtesy. Any such courtesy does not create an obligation or precedent.
Separate Non-Fodder Goods and Services
In addition to fodder-related products, Fodder Pro may now or in the future offer products or services unrelated to fodder, feed, seed, livestock, or agriculture. All such goods and services are also governed by these Terms unless a separate signed written agreement expressly overrides them.
To the fullest extent permitted by law, all such separate goods and services are provided:
as-is;
with all faults;
without guarantees of performance, result, suitability, uninterrupted function, or fitness for a particular purpose; and
subject to the same assumption of risk, release, limitation of liability, disclaimer, indemnity, arbitration, and dispute terms stated herein.
DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY LAW, ALL PRODUCTS, SERVICES, WEBSITE CONTENT, ESTIMATES, DESCRIPTIONS, SPECIFICATIONS, COMMUNICATIONS, DIGITAL CONTENT, AND OTHER MATERIALS ARE PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE.”
FODDER PRO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE, ANY WARRANTY OF TITLE, ANY WARRANTY OF NON-INFRINGEMENT, AND ANY WARRANTY THAT ANY PRODUCT, SERVICE, OR INFORMATION WILL MEET BUYER’S EXPECTATIONS OR PRODUCE ANY PARTICULAR RESULT.
NO ORAL STATEMENT, WEBSITE STATEMENT, SOCIAL MEDIA POST, EMAIL, TEXT, LABEL, IMAGE, ESTIMATE, GENERALIZED SPECIFICATION, OR OTHER COMMUNICATION CREATES ANY WARRANTY UNLESS EXPRESSLY STATED IN A WRITTEN AGREEMENT SIGNED BY AN AUTHORIZED OFFICER OF FODDER PRO.
THERE ARE NO WARRANTIES WHICH EXTEND BEYOND THE DESCRIPTION, IF ANY, EXPRESSLY STATED IN A WRITING SIGNED BY FODDER PRO.
Exclusive Remedy
If, and only if, we determine in our sole but good-faith discretion that a valid claim exists, Buyer’s exclusive remedy shall be limited to one of the following, at our option:
replacement of the affected product or service;
store credit; or
refund of the amount actually paid for the specific product or service giving rise to the claim.
These remedies are exclusive.
Broad Release of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BUYER, FOR BUYER AND FOR BUYER’S HEIRS, FAMILY MEMBERS, SUCCESSORS, ASSIGNS, INSURERS, EMPLOYEES, AGENTS, REPRESENTATIVES, CUSTOMERS, AND ANY PERSON OR ENTITY CLAIMING THROUGH BUYER, HEREBY FULLY, FINALLY, IRREVOCABLY, AND UNCONDITIONALLY RELEASES, WAIVES, ACQUITS, AND FOREVER DISCHARGES FODDER PRO AND ITS OWNERS, MEMBERS, MANAGERS, SHAREHOLDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, REPRESENTATIVES, SUPPLIERS, GROWERS, PROCESSORS, TRANSPORTERS, HOSTS, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, OBLIGATIONS, LOSSES, LIABILITIES, DAMAGES, JUDGMENTS, COSTS, FEES, PENALTIES, EXPENSES, OR DISPUTES OF ANY KIND, KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, FIXED OR CONTINGENT, DIRECT OR INDIRECT, ARISING OUT OF OR RELATING TO:
any product sold or provided by Fodder Pro;
any fodder-related product or non-fodder-related product;
any past, present, or future service, work, labor, consulting, design, fabrication, training, installation, rental, demonstration, education, digital offering, membership, subscription, event, or other business activity offered by Fodder Pro;
any website content, description, statement, image, estimate, weight, dimension, nutritional data, performance description, AI-assisted content, or other communication;
any animal illness, injury, death, production loss, veterinary cost, property damage, commercial loss, personal injury, business interruption, or economic loss;
any misuse, handling issue, storage issue, third-party use, resale, relabeling, repackaging, downstream claim, or failure to follow instructions; and
any act or omission by third parties involved in payment, hosting, transport, analytics, communications, or fulfillment.
This release is intended to be as broad and inclusive as permitted by law.
Covenant Not to Sue
Buyer agrees not to bring, file, initiate, participate in, support, encourage, or assist any lawsuit, arbitration, administrative complaint, class action, representative action, or other proceeding against Fodder Pro or any released party for any claim covered by these Terms.
If Buyer breaches this covenant not to sue, Buyer shall be liable to the fullest extent permitted by law for all resulting costs, expenses, damages, and attorneys’ fees incurred by the released parties.
Waiver of Unknown Claims
To the fullest extent permitted by law, Buyer expressly waives any and all rights or benefits that may otherwise limit the scope of a general release of unknown or unsuspected claims. Buyer understands that facts in addition to or different from those now known may later be discovered, but Buyer nonetheless intends this release to remain effective in all respects.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FODDER PRO AND ALL RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF USE, LOSS OF DATA, LOSS OF BUSINESS, LOSS OF HERD, LOSS OF LIVESTOCK, LOSS OF PRODUCTION, VETERINARY COSTS, SUBSTITUTE GOODS COSTS, PROPERTY DAMAGE, RECALL COSTS, OR OTHER COMMERCIAL OR ECONOMIC LOSS, WHETHER ASSERTED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, EQUITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL CUMULATIVE LIABILITY OF FODDER PRO AND ALL RELEASED PARTIES FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY BUYER TO FODDER PRO FOR THE SPECIFIC PRODUCT OR SERVICE DIRECTLY GIVING RISE TO THE CLAIM.
Indemnification
Buyer agrees to defend, indemnify, and hold harmless Fodder Pro and all released parties from and against any and all claims, actions, losses, damages, judgments, settlements, liabilities, penalties, costs, and expenses, including attorneys’ fees, arising out of or relating to:
Buyer’s breach of these Terms;
Buyer’s storage, handling, resale, transport, feeding, or use of any product or service;
claims by Buyer’s customers, family, employees, invitees, contractors, resellers, downstream users, or third parties;
Buyer’s negligence, misconduct, misrepresentation, unlawful act, or failure to supervise;
animals, property, operations, or facilities under Buyer’s control; or
any dispute arising after transfer of possession or risk.
Website Content and Accuracy
We do not guarantee that the website, listings, descriptions, photos, blogs, educational content, dimensions, prices, availability, estimates, or other content is complete, accurate, uninterrupted, current, or error-free. We may correct errors at any time, including after an order is placed.
Intellectual Property
All website content, branding, graphics, trade dress, photos, videos, designs, text, downloads, and compilations are owned by or licensed to Fodder Pro and may not be copied, reproduced, distributed, scraped, modified, framed, published, or commercially exploited without prior written consent.
Prohibited Conduct
You may not:
misuse the website or products;
commit fraud or chargeback abuse;
interfere with site security or operation;
scrape or harvest data;
misrepresent identity or authority;
submit false claims, false reviews, or defamatory content; or
use Fodder Pro intellectual property without authorization.
Communications; Email; SMS; Electronic Records
By providing contact information, Buyer consents to receive transactional and account-related communications from us by email, phone, and text.
If Buyer separately opts into promotional or marketing communications, Buyer consents to receive them to the fullest extent permitted by law. Consent to receive marketing texts is not a condition of purchase. Buyer may opt out of marketing emails by using the unsubscribe mechanism and may opt out of marketing texts by replying STOP.
Buyer agrees that electronic records, click-through acceptance, website assent logs, digital invoices, email acceptance, text acceptance, and electronic signatures may be used as evidence of assent and agreement.
Third-Party Providers
We may use third-party payment processors, e-commerce platforms, website hosts, analytics providers, carriers, email providers, SMS providers, CRM systems, and similar vendors. We are not liable for third-party acts, omissions, outages, or policies.
Force Majeure
We are not liable for delay, shortage, loss, spoilage, interruption, or nonperformance caused by weather, drought, flood, fire, disease, contamination, crop failure, supply disruption, utility outage, internet failure, labor shortage, transportation delay, governmental action, or any event beyond our reasonable control.
Informal Dispute Notice
The notice must describe the claim and requested relief in sufficient detail. The parties shall attempt informal resolution for 30 days before arbitration is initiated.33. Limitation Period
To the fullest extent permitted by law, any claim arising out of or relating to any product, service, communication, or these Terms must be brought within one (1) year after the claim accrues, or it is forever barred.
No Waiver
Failure to enforce any right is not a waiver.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law, and the invalid provision shall be modified or enforced to the maximum extent permitted.
Entire Agreement
These Terms, together with the Privacy Policy and any written invoice, quote, estimate, order confirmation, or other document expressly incorporated herein, constitute the complete agreement between Buyer and Fodder Pro regarding the subject matter hereof, except where superseded by a separate signed written agreement.
Changes to Terms
We may revise these Terms at any time by posting updated terms on the website. Continued use, purchase, payment, possession, or acceptance after posting constitutes acceptance of the revised Terms.
